Terms of Service

These Terms of Service (the "Terms") govern the use of the website dreamcarcy.com, the PWA application and the Telegram WebApp (together, the "Platform"), owned and operated by Dream Car Ltd, a company incorporated and operating under the laws of the Republic of Cyprus, with registered office in Limassol, Cyprus (the "Operator", "Dream Car", "we"). By using the Platform, any individual or legal entity (the "User", "you") confirms that it has read these Terms, the Privacy Policy and any annexes thereto, and unconditionally accepts them.
1. Definitions
"Platform" means the website dreamcarcy.com, the PWA application and the Telegram WebApp integration through which the Services are provided.
"User" means any person using the Platform in any capacity, including a Guest, Verified User, Verified Premium Bidder, Dealer, Service Station and Picker.
"Dealer" means a legal entity registered in Cyprus that has listed vehicles in the Platform's verified inventory under a separate dealer agreement.
"Inspector" means a Service Station or Picker verified to carry out vehicle inspections under the EXPRESS, STANDARD or MAX modes.
"Auction" / "Verified Commitment Auction" means the Platform's closed bidding system under which a participant's bid constitutes a legally binding offer to purchase the vehicle.
"Inspection Report" means the document (issued in three versions: Buyer, Dealer, Auction) generated following a vehicle inspection, partly or wholly based on automated data processing (the AI Estimation Engine).
"Protected Transaction" means the handover scenario involving QR verification, an electronic contract and an electronic signature.
"Deposit" / "Security Deposit" means the sum paid by a Verified Premium Bidder as financial security for obligations arising from Auction participation.
2. Subject Matter and Acceptance
2.1. The Operator provides Users with access to the Platform's functionality: vehicle search and booking, Dealer listings, independent vehicle inspection, participation in Verified Commitment Auctions, and support of the sale transaction through QR verification and an electronic contract.
2.2. These Terms are deemed accepted from the first actual use of the Platform (browsing the catalogue) as regards Guests, or from completion of the relevant verification and the electronic tick-box confirmation of acceptance as regards other categories of Users.
2.3. Access to the Platform is available to natural persons of legal capacity aged 18 or over and to legal entities validly registered and operating under applicable law.
3. User Roles and Verification Levels
3.1. Guest
Access without registration: browsing of listings and auctions, bidding history, push notifications. A Guest may not place bids, book inspections or order a vehicle check.
3.2. Verified User
To obtain this status, the User must complete identity verification (a valid identity document), phone number confirmation by SMS, a selfie liveness check, and must accept the Auction Participation Agreement. A Verified User may participate in standard auctions, book inspections and order vehicle checks, subject to a bidding limit.
3.3. Verified Premium Bidder
In addition to the requirements for Verified User status, the User must pay a Security Deposit (€300 / €500 / €1,000 depending on the lot's price range), confirm their residential address and, where required, authorise a card hold. A Verified Premium Bidder benefits from a higher bidding limit, access to Friday Premium Auctions, and access to dealer-only inventory reserved for this category.
3.4. Dealer, Service Station, Picker
Platform partners are admitted following verification of company registration documents/licences and execution of the relevant agreement (dealer agreement, inspection services agreement). The terms of cooperation, including the amount of the Dealer's commission, are determined individually in a separate agreement and are not governed by these Terms.
4. Identity Verification (KYC) and Biometric Data
4.1. Identity verification, including document authenticity checks and a liveness check based on a facial photograph/video, is mandatory to obtain Verified User status or above. Such data is processed on the basis of the User's explicit consent in accordance with Article 9(2)(a) of Regulation (EU) 2016/679 (GDPR) and is further described in the Privacy Policy.
4.2. The Operator may refuse to grant, or may revoke, verification status where there are indications of document forgery, multiple registrations by the same person, or the provision of knowingly false information.
5. Inspection Reports: Nature, Purpose and Limitation of Liability
5.1. An Inspection Report is prepared by an Inspector (a Dream Car employee, Service Station or Picker) based on a visual inspection, on-board diagnostics (OBD) readings, paint-thickness gauge measurements and other diagnostic methods available and agreed for the relevant mode (EXPRESS / STANDARD / MAX) at the time of inspection. Part of the Report's content is generated automatically by the AI Estimation Engine based on data entered by the Inspector.
5.2. The Inspection Report reflects the technical condition of the vehicle solely as at, and to the extent of, the inspection performed, and does not guarantee the absence of hidden defects that could not be identified by the diagnostic method used without dismantling components or assemblies. The estimation indicators (Dream Car Verified Score, Auction Estimate, Liquidity Score, AI Repair Cost Estimation) are predictive and advisory in nature.
5.3. Dream Car is not a party to the contract of sale of the vehicle between the Dealer/seller and the buyer (unless expressly provided otherwise in a separate agreement), and does not assume a seller's liability within the meaning of the Cyprus Contract Law (Cap. 149) and the Cyprus Sale of Goods Law (Cap. 197). The Operator's liability for the content of an Inspection Report is limited to cases of gross negligence or wilful misconduct on the part of the engaged Inspector and shall not exceed the fee paid for the specific inspection concerned, unless mandatorily provided otherwise by applicable law.
5.4. A User who has reviewed an Inspection Report must independently assess whether to proceed with the purchase and, in case of doubt, arrange an additional independent inspection before completing the transaction.
6. Verified Commitment Auction
6.1. A bid placed by a Verified User or Verified Premium Bidder in an Auction constitutes a legally binding offer to purchase the vehicle (a "Binding Offer") on the terms set out in the lot listing and the Inspection Report (Auction version).
6.2. Before placing a first bid, the User must sign, by electronic signature, tick-box confirmation and one-time password (OTP) verification: the Auction Participation Agreement, the Bid Commitment Terms and the Deposit Authorization. Such signature, including timestamp, IP address and user identifier, is recorded in an immutable audit trail retained for at least five (5) years.
6.3. Auctions run on a fixed schedule (Tuesday — standard auction, Friday — Premium auction), lasting 48 hours, with anti-sniping protection (a 15-minute extension for bids placed in the last 10 minutes, up to three extensions) and a hidden reserve price.
6.4. The auction winner must contact the Platform within 12 hours of the auction's close and pay the Commitment Payment. The winner may withdraw from the transaction without penalty solely where the Inspection Report contains a material misrepresentation of the vehicle's actual condition, identified at the handover stage.
6.5. Where the winner withdraws from the transaction without reasonable cause, the Operator may: withhold the Deposit in full or in part in accordance with the Bid Commitment Terms; record a strike against the participant's profile; temporarily restrict auction participation; and, upon accumulation of three strikes, impose a permanent ban and list the participant in the Platform's register of non-compliant participants.
6.6. The Deposit does not constitute earnest money in the property relationship between seller and buyer and is held by the Operator solely as security for the User's obligations towards the Platform.
7. "Sell a Car" and "Check a Car" Modules
7.1. The "Sell a Car" service is provided on a prepaid basis (a single package comprising the inspection, an auction listing, and, should the vehicle fail to sell at auction, automatic catalogue listing with the completed Inspection Report in Buyer Version, at no additional charge).
7.2. The "Check a Car" service (an independent inspection ordered by a prospective buyer) is provided by the Picker or Service Station that first accepts the request in the relevant city, on a prepaid basis. The Operator's obligations under this service are limited to organising the inspection and delivering the Report; responsibility for the quality of the physical inspection rests with the Inspector, under the agreement between the Inspector and the Platform.
8. Protected Transaction, Electronic Contract and Electronic Signature
8.1. Handover of the vehicle follows a scenario of slot booking, transmission of the general area and, later, the exact address, and a single-use QR code (a JWT token valid for 48 hours), upon scanning of which the parties record their decision to purchase or decline, with a mandatory reason for any decline.
8.2. The sale contract is generated automatically in PDF format in the User's interface language and is signed by both parties by electronic signature. The base level of electronic signature (Telegram user identifier, timestamp, SHA-256 hash) is applied as a simple electronic signature in accordance with the Cyprus Trust and Electronic Identification Services Law 55(I)/2018 and Regulation (EU) No 910/2014 (eIDAS); for higher-value transactions, an advanced/qualified electronic signature is available through the DocuSign integration.
8.3. The contract and the related Inspection Report (Auction version) are retained by the Operator in encrypted form for at least five (5) years from the date of execution.
9. Payments and Commissions
9.1. The commission charged to a Dealer is determined individually under the terms of the dealer agreement; the Operator sets a minimum commission threshold in the Platform's administrative settings. The commission charged to a private seller upon a completed Auction sale is 2% of the winning bid amount.
9.2. Payment for Platform services (the "Sell a Car" package, the "Check a Car" service, Inspector subscriptions, Deposits) is processed through the PayPal payment provider. The Operator does not store Users' full payment card details.
9.3. All stated amounts exclude applicable taxes unless expressly indicated otherwise.
10. Intellectual Property
10.1. The software code, design, the "Dream Car" trademark, the verified vehicle database, the AI Estimation Engine methodology and the Dream Car Verified Score are the Operator's intellectual property, protected under the law of the Republic of Cyprus and applicable international treaties. Use of the foregoing without the Operator's prior written consent is prohibited.
10.2. By uploading photographs, videos and other materials, the User grants the Operator a non-exclusive, royalty-free licence to use such materials for purposes connected with the Platform's operation (listings, Report generation, catalogue display).
11. Prohibited Conduct
providing knowingly false information about identity, the vehicle, or authority to sell it;
attempting to circumvent the camera-only photo verification mechanism (uploading gallery images, editing EXIF metadata);
manipulating an auction (collusion among participants, shill bidding, use of multiple accounts by the same person);
failing, without legal justification, to perform the obligations of an auction winner;
any action intended to impair the operation of the Platform (automated requests, attempts at unauthorised access).
Breach of the foregoing provisions may result in suspension or termination of access to the Platform, revocation of verification status, and, where warranted, referral to the competent authorities of the Republic of Cyprus.
12. Disclaimer of Warranties and Limitation of Liability
12.1. The Platform is provided on an "as is" and "as available" basis. The Operator does not guarantee uninterrupted or error-free operation of the Platform but takes reasonable measures to maintain an availability level of at least 99.5% per month.
12.2. To the fullest extent permitted by applicable law, the Operator's aggregate liability to a User for any claim connected with use of the Platform is limited to the amount actually paid by the User to the Operator for the relevant service in the twelve (12) months preceding the claim. This limitation does not apply in cases of wilful misconduct or gross negligence of the Operator, or where a limitation of liability is mandatorily prohibited under the law of the Republic of Cyprus.
12.3. The Operator is not liable for the acts or omissions of third parties — Dealers, Inspectors or other Users — nor for the content of sale transactions concluded between Users, except where the Operator expressly assumes such liability under a separate agreement.
13. Indemnification
The User shall indemnify the Operator for documented losses arising from the User's breach of these Terms, provision of false information, or unlawful conduct towards the Platform or other Users.
14. Suspension and Termination of Access
The Operator may suspend or terminate a User's access to the Platform for breach of these Terms, with notice to the User via the contact details provided, except in cases requiring immediate action (suspected fraud, auction manipulation).
15. Governing Law and Dispute Resolution
15.1. These Terms are governed by, and construed in accordance with, the law of the Republic of Cyprus, without regard to conflict-of-laws principles.
15.2. The parties shall use reasonable efforts to resolve disputes through negotiation. Failing agreement within 30 days, the dispute shall be submitted to the courts of the Republic of Cyprus at the Operator's seat (Limassol), unless mandatory consumer-protection rules applicable to the User provide otherwise.
16. Amendments to these Terms
The Operator may amend these Terms by publishing a revised version on the Platform at least 14 days before it takes effect. Continued use of the Platform after that date constitutes acceptance of the revised Terms.
17. Miscellaneous
17.1. If any provision of these Terms is held invalid, the remaining provisions shall remain in full force and effect.
17.2. These Terms, the Privacy Policy and any applicable agreements (dealer agreement, Inspector agreement) constitute the entire agreement between the parties on the subject matter herein.
